Short answer
No, if your company was formed in the United States. FinCEN’s final rule, effective August 14, 2026, permanently exempts U.S.-formed companies from beneficial ownership information (BOI) reporting. Only companies formed outside the U.S. that register to do business in a U.S. state still report, and only for their foreign owners.
How this tool works
Based on FinCEN’s final rule under the Corporate Transparency Act. Messages that say a U.S. company must file a BOI report now are often scams.
